ADIB Shareholders Approve AED1.75 Billion Rights Issue

Abu Dhabi:Shareholders of Abu Dhabi Islamic Bank (ADIB) have approved a plan to increase the bank's issued and paid-up share capital through a rights issue, aiming to raise approximately AED1.75 billion in gross proceeds.

According to Emirates News Agency, the decision was made by the requisite majority during the General Assembly Meeting held on Tuesday. The capital increase is intended to fortify ADIB’s capital base and support its growth strategy under Vision 2035, allowing the bank to maintain capital strength and create sustainable long-term value for its shareholders.

The rights issue will involve 106,383,000 new shares offered at AED16.45 per share, which includes a nominal value of AED1 and a share premium of AED15.45. Once completed, this will raise the bank's issued and paid-up share capital from AED3,632,000,000 to AED3,738,383,000.

The issue price reflects a discount of about 28.8 percent compared to ADIB's closing share price on the Abu Dhabi Securities Exchange as of August 24, 2026. Eligible shareholders will have the right to subscribe for approximately one new share for every 34.14 shares they currently hold, in line with the final subscription terms.

Jawaan Awaidah Al Khaili, Chairman of ADIB, expressed that the shareholders' approval signifies confidence in the bank's strategy and its capacity to achieve sustainable growth and generate attractive returns. He highlighted that the capital raise will reinforce the bank's financial foundation and support future growth opportunities.

Mohamed Abdelbary, Group Chief Executive Officer of ADIB, noted that the bank's growth is backed by a robust customer franchise and a business model that yields high returns. With total assets exceeding AED300 billion, ADIB is poised to expand its core businesses and enhance its digital and AI capabilities, supported by the additional equity to fund this growth while preserving capital strength.
