Synchronoss Technologies, Inc. Announces Pricing of $125 Million Public Offering of Senior Notes

BRIDGEWATER, N.J., June 25, 2021 (GLOBE NEWSWIRE) — Synchronoss Technologies, Inc. (SNCR) (the “Company” or “Synchronoss”), a global leader and innovator in cloud, messaging and digital products and platforms, today announced the pricing of an underwritten public offering of $125 million aggregate principal amount of 8.375% senior notes due 2026, including the exercise in full by the underwriters of the underwriters’ option to purchase an additional $5 million aggregate principal amount of senior notes. The offering is expected to close on or about June 30, 2021, subject to satisfaction of customary closing conditions.

Synchronoss and the senior notes both received a rating of BB- from Egan-Jones Ratings Company, an independent, unaffiliated rating agency. The Company has applied to list the senior notes on the Nasdaq Global Select Market under the symbol “SNCRL” and expects the notes to begin trading within 30 business days of the closing date of the offering, if approved.

All of the senior notes in the offering are being sold by Synchronoss. Synchronoss anticipates using the net proceeds from the offering, and from the offering of common stock and sale of Series B Preferred Stock (each as described below), to fully redeem all outstanding shares of Synchronoss’ Series A Convertible Participating Perpetual Preferred Stock and repay amounts outstanding under Synchronoss’ revolving credit facility.

B. Riley Securities, Inc. (“BRS”) is acting as the sole book-running manager for the offering. Northland Capital Markets, Aegis Capital Corp. and EF Hutton, division of Benchmark Investments, LLC are acting as lead managers for the offering.

UAE announces 2,282 new COVID-19 cases, 2,233 recoveries, 10 deaths in last 24 hours

ABU DHABI, The Ministry of Health and Prevention, MoHAP, announced that it conducted 274,917 additional COVID-19 tests over the past 24 hours, using state-of-the-art medical testing equipment.

In a statement, the Ministry stressed its aim to continue expanding the scope of testing nationwide to facilitate the early detection of coronavirus cases and carry out the necessary treatment. As part of its intensified testing campaign, MoHAP announced 2,282 new coronavirus cases, bringing the total number of recorded cases in the UAE to 624,814.

According to the Ministry, the infected individuals are from various nationalities, are in a stable condition, and receiving the necessary care.

MoHAP also announced 10 deaths due to COVID-19 complications, bringing the total number of deaths in the country to 1,792.

The Ministry expressed its sincere condolences to the family of the deceased and wished COVID-19 patients a speedy and full recovery. It called on all members of the society to cooperate with health authorities, adhere to the instructions and physical distance to ensure the health and safety of all.

MoHAP also noted that an additional 2,233 individuals had fully recovered from COVID-19, bringing the total number of recoveries to 603,541.

Mohammed bin Rashid approves new Board of Directors of Dubai Chambers

DUBAI, His Highness Sheikh Mohammed bin Rashid Al Maktoum, Vice President, Prime Minister and Ruler of Dubai, today approved the new Board of Directors of Dubai Chambers, which was recently restructured into three entities – Dubai Chamber of Commerce, Dubai Chamber of Digital Economy and Dubai Chamber of International Trade. The decision forms part of restructuring the Chambers’ operations to enhance its contributions to Dubai’s economy, raise the level of support provided to emerging business sectors and accelerate Dubai’s innovation journey.

The move is also part of efforts to catalyse Dubai’s economic transformation and further reinforce the city’s rise as a global business hub.

His Highness said the three new chambers are integral to Dubai’s new drive to create a highly competitive, advanced investment environment geared for rapid growth. “In the light of the changes sweeping across the globe, we need to adopt new business models that enable us to raise our sustainability and attain continued success. Deploying innovative operational frameworks and developing flexible legislations will help us foster further growth and achievement in Dubai’s economy,” His Highness said.

Dubai Economy to honour Business Excellence Awards winners on June 28

DUBAI, Dubai Economy is set announce the winners of the 27th Business Excellence Awards (BEA) in an online ceremony to be held under the patronage of His Highness Sheikh Mohammed bin Rashid Al Maktoum, Vice President and Prime Minister of the UAE and Ruler of Dubai, on the 28th of June 2021.

The prestigious awards, which recognise outstanding efforts and commitment towards adopting best practices and achieve excellence in diverse disciplines of business, are being announced virtually for the second consecutive year in view of the precautionary guidelines against COVID-19.

Overall, 26 winners in various categories of the 2020 cycle of the Business Excellence Awards (BEA), including the Dubai Quality Award (DQA), and the Dubai Service Excellence Scheme (DSES), will be announced at the ceremony this year.

BEA remain a major component of the initiatives Dubai Economy has launched to date to promote quality and excellence as a catalyst for further growth and development in the business sector and contribute to the aspirations of the Government of Dubai to encourage global best practices across the emirate and the UAE to strengthen competitiveness and sustainability.

The Awards have also continued to expand each year to recognise exceptional efforts of industry sectors and businesses to support strategic initiatives aimed to elevate quality standards and enhance customer happiness across Dubai and the UAE.

The year 2020, also saw 100 assessors, including 40 new entrants, trained online on the Awards criteria and processes. The assessors conducted hybrid site visit assessments, combining both physical and virtual visits as required, for all the Dubai Quality Award categories, and 31 feedback reports outlining areas for improvements were sent to applicants in various DQA categories.

“The Business Excellence Awards and the BEA online portal have evolved into an engagement platform and reference point for businesses keen on adopting global best practices and growing sustainably. Satisfaction rating on our online events was above 80 percent in the 2020 cycle of the Awards and over 90 percent of the businesses participating in the Dubai Service Excellence Scheme showed 90 percent compliance with the precautionary guidelines against COVID-19,” added Al Bishri.

Over 8,000 Mystery Shopping and Brand reports highlighting key improvements were sent to DSES members in the retail sector in the 2020 cycle of the Awards and the Mystery Shopping programme has now been expanded GCC-wide.

“In addition to the new e-Services award category, we have also introduced new programmes to support DSES participants improve their service quality,” Al Bishri said.

A 20-hour course certified by the Knowledge and Human Development Authority (KHDA) on dealing with people of determination was offered to 1,500 DSES members in the 2020 cycle. ‘DSES Tweets’ also have been launched as part of BEA to share information among members. Every quarter the top three brands in each sector identified on the basis of the Mystery Shopping reports are announced to encourage retailers.

The Dubai Service Excellence Scheme is a one-of-a-kind initiative that aims to gain customer confidence and to make the experience of shopping in the UAE a pleasurable one. Participants in DSES are honoured in two main categories: the Best Outlet, and the Best Brand.
